Article VI
Committees
Section 1. Executive Committee.
There shall be an Executive Committee consisting of the Officers of the Association other than the Executive Director. The President shall serve as the Chairman of the Executive Committee. Except as otherwise provided by law, these Bylaws or the Board of Trustees, the Executive Committee shall exercise the power of the Board of Trustees between meetings of the Board of Trustees. The Executive Committee shall keep regular minutes of its proceedings and shall report the same to the Board of Trustees. The Executive Director shall be entitled to attend meetings of the Executive Committee, but shall not be entitled to vote.
Section 2. Other Committees.
The Board of Trustees may create other committee(s) consisting of Trustees or other persons, which committee(s) shall have such authority as the Board of Trustees may by law direct. The President shall appoint the chair of each such committee, and the members of such a committee shall be appointed by the President in consultation with the Executive Director and the committee chair. The President and the Executive Director shall be ex officio members of all committees, except that the Executive Director shall recuse himself or herself from any committee consideration of, or act with respect to, the evaluation of the Executive Director’s performance or the determination of the Executive Director’s compensation.
